Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website located at forge.ai and any related web pages, content, and materials we make available through it (collectively, the "Site"), operated by a37 Inc., doing business as Forge ("Forge," "we," "us," or "our"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site.

The Site provides information about Forge and our AI agent security and governance platform. These Terms govern only your use of the Site. Your access to or use of any Forge product, platform, API, or paid service is governed by a separate written agreement between you and Forge (a "Product Agreement"), and not by these Terms. In the event of a conflict regarding a Forge product, the applicable Product Agreement controls.

Changes to These Terms

We may modify these Terms at any time in our discretion. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice on the Site. Changes take effect no earlier than ten (10) days after they are posted. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

Eligibility

You must be at least eighteen (18) years old and able to form a legally binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Access to the Site

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and view the Site for your own informational purposes and to evaluate Forge's products and services. We may modify, suspend, or discontinue any part of the Site at any time without notice, and we are not liable to you for doing so.

Restrictions on Use

As a condition of your access to the Site, you agree that you will not, and will not permit any third party to:

• Copy, reproduce, republish, sell, rent, or otherwise distribute the Site or its content except as expressly permitted
• Modify, translate, or create derivative works based on the Site, or reverse engineer, decompile, or disassemble any part of it
• Remove, obscure, or alter any copyright, trademark, or other proprietary rights notice
• Circumvent, disable, or interfere with any security or access-control feature of the Site
• Use any robot, scraper, or automated means to access the Site or collect its content, or impose an unreasonable or disproportionately large load on our infrastructure
• Introduce any virus, malware, or other harmful code, or otherwise interfere with the integrity or performance of the Site
• Use the Site or its content to build, train, or benchmark any competing or machine-learning product or service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Site in any way that violates any applicable law or regulation, or the rights of any third party

Information You Provide

If you submit information through the Site — for example, by requesting a demo, contacting us, or subscribing to updates — you represent that you have the lawful right to provide that information and that it is accurate and not misleading. We handle information you provide in accordance with our Privacy Policy. Access to the Site is currently provided free of charge, though we may offer paid features in the future subject to your agreement.

Intellectual Property

The Site and all content, materials, text, graphics, logos, designs, and software available through it (the "Materials"), and all "Forge" names, logos, and trademarks (the "Marks"), are owned by or licensed to Forge and are protected by intellectual property and other laws. Except for the limited right to access and view the Site granted above, no right, title, or interest in the Materials or Marks is transferred to you, and we reserve all rights not expressly granted.

If you provide us with any feedback, suggestions, or ideas about the Site or our products ("Feedback"), we may use the Feedback without any obligation or compensation to you, and all rights, including intellectual property rights, in the Feedback belong exclusively to Forge.

Third-Party Links and Content

The Site may contain links to, or content from, third-party websites and services that we do not own or control. The presence of such links or content does not imply our endorsement of, or affiliation with, any third party. We are not responsible for the availability, accuracy, or practices of any third-party website or service, and your use of them is governed by their own terms and privacy policies, which you should review.

Site Information and No Reliance

The Materials are provided for general informational purposes only and may be changed or updated at any time without notice. We do not warrant that the Materials are accurate, complete, or current, and nothing on the Site constitutes legal, security, financial, or other professional advice. Any product descriptions, benchmarks, or forward-looking statements are provided for general information and are not binding commitments. You should not rely on the Materials as the sole basis for any decision without seeking appropriate professional advice.

Disclaimer of Warranties

We are not responsible for any consequences arising from technical problems of the internet, slow connections, traffic congestion, or overload of servers or other equipment beyond our reasonable control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORGE, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Forge and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any rights of another party.

Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. You may stop using the Site at any time. Provisions that by their nature should survive termination — including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — will survive.

General

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Site.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted unauthorized assignment is void.

Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Waiver and Remedies

No waiver of any provision of these Terms will be effective unless in writing, and no waiver will be deemed a further or continuing waiver. Our rights and remedies under these Terms are cumulative and not exclusive of any other rights or remedies available at law or in equity.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forge regarding your use of the Site and supersede all prior agreements and understandings on that subject. These Terms do not modify or supersede any Product Agreement governing your use of Forge products or services.
